Tokenized issuers

The token is not the register.

A restricted security that is mirrored on-chain still has a book, and the book is what a court reads. We keep the book and read the chain against it.

The situation

The token is mirrored on-chain. The register is the thing a court reads. When the two disagree, one of them is the company.

What we do
  • Keep the register of record, and read the contract independently to compare it.
  • Open, age and value every position that does not agree, instead of adjusting one side to the other.
  • Keep transfer restrictions and legends enforceable on the book, whatever the chain permits.
  • Report the comparison to the issuer with every statement.
What we do not do
  • We do not issue, market or trade tokens, and we do not custody keys for the public.
  • We do not advise on whether an instrument is a security. Ask your counsel.

Saying this plainly is cheaper than disappointing you later.

Somebody has to keep the book.
