Family offices
One keeper for every company in the family.
Several operating companies, one owner group, and a different version of the truth in every minute book.
The situation
Every entity has its own version of who owns what, and no two of them were written by the same person.
What we do
- Keep a separate register for each entity, under one relationship and one standard.
- Reconcile each register to its minute book and its formation documents at intake.
- Give each entity's directors their own view, without giving them each other's.
- Produce the current holder list for a lender, an auditor or an estate planner on request.
What we do not do
- We do not do fund administration, capital accounts or waterfalls.
- We do not act as corporate secretary or keep the minute book itself.
Saying this plainly is cheaper than disappointing you later.
Other situations
Somebody has to keep the book.
