How it works

From a spreadsheet to a register.

Five steps. The first three happen once. The last two happen for the rest of the company’s life.

01

You send what you have

Whatever the record currently is: a spreadsheet, an export from your current provider, the minute book, the closing sets from the raise. It does not need to be tidy.

You send
Cap table, subscription documents, board consents, stock ledger
You get
Signed engagement and an intake index

02

We rebuild it from the documents

Every position is traced back to the instrument that created it. Where the paperwork and the spreadsheet disagree, you get the list, and nothing is guessed at.

You send
Answers on anything the documents do not settle
You get
An exception list with a cite for each item

03

You certify the opening balance

The rebuilt register is the first entry in the book, and an officer signs that it is correct as at a date. Everything after that is a posting, not an edit.

You send
An officer's certificate
You get
The opening register, and the control book set to it

04

Changes are posted from instruction

A transfer, an issuance, a cancellation — each one arrives as a written instruction, is checked against the control book, and is journalled. An entry that would over-issue is refused rather than absorbed.

You send
The instruction, signed
You get
A journal entry, a new position, and the audit chain extended

05

You get the answer whenever you need it

The current holder list, a capitalization report, the transfer journal for any period, and where shares are mirrored on-chain, the comparison. Your records export at any time, in full.

You send
Nothing
You get
Holder list, cap report, journal, chain comparison
What you end up with

A page you can hand to anyone who asks.

An auditor, a lender, an investor’s counsel, a court. The register is the same document for all of them, and it is dated, certified and reconciled.
