Capitalization table and securityholder recordkeeping

From chain of thought
to chain of title.

Carta owns your record. We anchor it to Bitcoin, so the proof leaves with you — ownership you can verify without trusting your vendor.

J-0193  Transfer of 25,000 common from C-0003 to C-0006, posted from a written instruction dated 14 Aug 2026.

Chain agrees. 0 differences.

Illustrative. Not a real issuer.

Your ownership record is behind somebody else’s door.

Most private companies keep the list of who owns them inside a subscription. The list is real. The door to it is rented: the price moves at renewal, the export leaves the history behind, and access ends when the contract does.

That is what a walled garden is — easy to put things into, hard to take things out of. And it is the wrong shape for this particular thing, because a register is not a feature of a product. It is the company’s own book. It should still be readable, provable and complete on the day you stop paying anybody, including us.

If you are already paying for software
I. What we keep

Four records, kept the way the rules already say.

Transfer agents have had a written standard since 1977. We keep to it now.

17Ad-6(a)(8)

Master securityholder file

Every holder of record, every position, every legend, with its history.
17Ad-10

Journal and control book

Posted from a written instruction. An entry that would over-issue is refused rather than absorbed.
17Ad-7(f)

Audit trail

Each posting is hash-chained to the one before it, and verified before a report leaves.
17Ad-11

Record differences

A position that does not agree is opened and dated, never quietly corrected.
All four records in full
II. Reconciliation

A book nobody can quietly rewrite.

Where an issuer's shares are mirrored in a Bitcoin-anchored contract, we read the positions from the chain and compare them to the book.

Each posting carries the hash of the one before it. The head of the chain is written where we cannot rewrite it, so a changed entry stops matching and says so.

III. What it costs

The price is on the page.

Up to 25 holders of record
$0
26 to 75 holders
$1,500 a year
Moving in, exporting, or leaving
$0

What leaving costs

$0

We went looking for a company in this business that publishes what it charges, and we did not find one. So we print the whole schedule, including what it costs to leave, which is nothing. A company that plans to trap you cannot print that.

The whole fee schedule
IV. Why now

The rules for this are being rewritten right now.

In August the SEC proposed a new exempt way for companies to raise money with crypto assets. In September it proposed the first substantive rewrite of the transfer agent rules since the early 1980s. The second one names blockchain in so many words: it would let the keeper of a register hold the master securityholder file on a distributed ledger.

Both are proposals in an open comment period. Neither is law, nothing we do depends on either one passing, and we will never say otherwise. But they are being written toward the thing we already built, and the first comment deadline is 20 October 2026.

What the two proposals actually say
V. Who it is for

Private companies with real shareholders.

Just closed a Series A, and nobody wants to own the list.

Done paying for software you open once a quarter.

Shares that already live on-chain, and a book that has to match them.

Several operating companies, one owner group, one register each.

We do not run option plans, 409A valuations or data rooms. We keep the register.

Who we serve
VI. Questions

The things people ask before they move.

Four records, and they have had a written specification since 1977: the master securityholder file, the journal and control book, the audit trail, and the record of differences. Every holder of record, every position, every legend, with its history attached.
You take it. A full export costs nothing, on any day, and it carries the history rather than a photograph of today's balances. We would rather lose a client than keep one by making the exit expensive.
No. A register is an ordinary company record and it never has to touch a chain to be kept properly. Where an issuer's shares are mirrored on-chain we read the positions from it and compare them to the book — an option with a price on it, not a requirement.
Intake can run while your current subscription finishes. We rebuild the register, reconcile it, and hold the opening balance for the date you choose, so the two records simply agree until you switch. Nobody has to be locked out of anything.
We do, from a written instruction, and only from a written instruction. An entry that would over-issue a class is refused rather than absorbed, and a position that does not agree is opened and dated rather than quietly corrected.
No. Deal Box Transfer Services LLC is a separate Delaware company with its own owners, and it uses the Deal Box name under a trademark licence. The full statement is at the foot of every page on this site.
